We know it’s tempting to skip these, but our Terms of Service reflect the way Fulfill’s business works, the laws that apply to our operations, and certain principles we’ve always believed in. These Terms help define Fulfill’s relationship with you as you use our sourcing and purchasing services.

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using our services operated by Fulfill (“us”, “we”, or “our”). Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all clients, visitors, and users who wish to engage with our services. By using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to use our services.

Definitions

For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

• Agreement means the Sign-Up Form (if any) and these Terms (as updated from time to time).

• Dropshipping means sending Products directly from a Supplier to an End Customer on behalf of a Client.

• End Customer means a customer of the Client to whom Products are to be shipped.

• Fulfill means our direct sourcing and purchasing service that sources products from vetted suppliers and coordinates delivery on behalf of the Client.

• Order means an order by a Client for Products submitted through agreed communication channels (e.g., WhatsApp, email).

• Products means goods sourced and purchased for the Client through Fulfill’s service.

• Client means the entity or individual engaging Fulfill to provide sourcing, purchasing, and related services.

• Services means sourcing, purchasing, quality control, and logistics coordination services offered by Fulfill.

• Supplier means a manufacturer or vendor Fulfill engages with directly to purchase products on behalf of the Client.

Provision of Service

Fulfill provides direct product sourcing and purchasing services. We:

• Communicate one-to-one with Clients to confirm specifications, pricing, and order details.

• Purchase goods directly from vetted suppliers and coordinate delivery.

• Offer optional services such as quality inspection, custom branding, and fulfillment solutions.

We do not operate as a public marketplace and do not host third-party product listings for browsing. All purchasing is managed by Fulfill on behalf of the Client.

Use Guidelines

Clients shall not:

(i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or otherwise exploit our services to third parties without permission;

(ii) interfere with or disrupt the integrity or performance of the service or related systems;

(iii) attempt to gain unauthorized access to our systems;

(iv) disclose any benchmarking or results of the service without prior written consent.

Restrictions

Clients shall not (and shall not allow any third party to):

(a) modify, reverse engineer, or create derivative works based on our service;

(b) circumvent any usage restrictions;

(c) remove proprietary notices;

(d) frame or mirror any content;

(e) use the service to build a competing offering or copy our processes.

Service Changes

We reserve the right to alter, suspend, or discontinue services at any time. We will endeavor to provide notice, but services may also be unavailable due to maintenance, system failures, or supplier issues.

Purchases

If you wish to purchase any product through our service, you may be asked to provide information including payment details, billing address, and shipping address.

By submitting this information, you represent that it is accurate and that you have the legal right to use the payment method provided. We may use third-party services to process payments.

We reserve the right to refuse or cancel an order for reasons including product availability, pricing errors, or suspected fraud.

License & Restrictions on Use

You are granted a personal, non-exclusive license to use our service solely for placing orders and purchasing goods through Fulfill. You may not use our service to bypass Fulfill to engage suppliers directly without prior written consent.

Availability, Errors, and Inaccuracies

We continually update product and service information but cannot guarantee that all details are always current or error-free. We reserve the right to correct any errors without notice.

Subscriptions

Some service plans may be billed on a subscription basis (monthly or annually). Subscriptions automatically renew unless canceled in accordance with our cancellation policy.

Payment & Overdue Accounts

Payments must be made in accordance with agreed terms. Late payments may accrue interest at 1% per month or the maximum allowed by law.

Refunds

Refunds for product issues will be handled case-by-case, subject to supplier cooperation and proof provided by the Client.

Accounts

Clients must provide accurate and current information when setting up any account with Fulfill. You are responsible for safeguarding your account credentials.

Links to Third-Party Websites

Our communications or documentation may include links to third-party sites. We are not responsible for their content or practices.

Termination

We may suspend or terminate services immediately for breach of these Terms, non-payment, or misuse. You may terminate at any time by notifying us and settling any outstanding amounts.

Indemnification

You agree to indemnify and hold harmless Fulfill, its employees, and agents from any claims arising from your use of our services.

Limitation of Liability

Fulfill’s total liability shall not exceed the total fees paid by you for the order in dispute, up to $10,000. We are not liable for indirect or consequential damages.

Disclaimer

Our services are provided “AS IS” without warranties of any kind. We do not guarantee uninterrupted availability or that products will meet specific performance criteria beyond agreed specifications.

Force Majeure

We are not liable for delays or failures caused by events beyond our control, including shipping disruptions, customs delays, natural disasters, or government actions.

Governing Law

These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Palm Beach County, Florida.

Changes

We may update these Terms at any time. Continued use of our services after changes take effect constitutes acceptance of the new Terms.
